Terms of Use

These Terms of Use (“Terms”) govern access to the KOIA client workspace at https://my.koia.ai (the “Platform”). By creating an account or using the Platform, you agree to these Terms.
This is how KOIA intends to operate. Have counsel review it for your situation. It is not a substitute for legal advice.
1. Who you contract with
The Platform is operated by KOIA LLC, 1309 Coffeen Avenue STE 1200, Sheridan, WY 82801, USA (“KOIA”, “we”, “us”). Contact: jakub@koia.ai.
Unless a charge is taken by Stripe as merchant of record, KOIA LLC is the seller named on the invoice.
2. The service
KOIA is a private client workspace for digital transformation projects: onboarding, project files, requests, boards, consultations, and invoicing. It is a professional B2B service. We may refuse consumer or non-business accounts.
New accounts stay pending until we approve them. We may reject an application, including automated or abusive signups.
3. How we bill
Payment may be:
- An invoice from KOIA LLC to a VAT-registered business, often under reverse charge where that mechanism applies.
- A subscription or other charge taken by Stripe (or a Stripe selling entity) as merchant of record. Stripe handles that payment and applicable taxes and pays KOIA out, minus Stripe’s fee. Stripe’s checkout terms apply to that charge.
Fees, currency, due dates, and tax treatment are on the invoice or Stripe receipt. Unpaid amounts may lead to suspension of access.
4. Your account
You must provide accurate information and keep login credentials confidential. You are responsible for activity under your account. Notify us at jakub@koia.ai if you believe it was compromised.
Invited teammates (managers or additional users) must use the Platform only for your organisation’s work with KOIA.
5. Acceptable use
You may not:
- use bots, scripts, or fake identities to create accounts;
- probe, scrape, or attack the Platform;
- upload unlawful, infringing, or harmful content;
- interfere with other customers’ workspaces;
- misuse payment, invoicing, or tax features.
We use bot protection (including Cloudflare Turnstile) and may delete abusive accounts and related data without notice.
6. Content and intellectual property
You keep rights to materials you upload. You grant us a licence to host and use them as needed to deliver the project and operate the Platform.
KOIA retains rights to the Platform, our branding, and materials we create unless a separate project agreement says otherwise.
7. Availability
We aim to keep the Platform available but do not guarantee uninterrupted access. We may change or discontinue features. Maintenance, security, and third-party outages (hosting, email, payments) can affect service.
8. Termination
You may stop using the Platform and ask us to close the account. We may suspend or close accounts that breach these Terms, remain unused, or stay rejected or unpaid. Invoicing and tax records may be kept as required by law. See the Privacy Policy for data retention.
9. Liability
The Platform is provided as a client workspace for professional collaboration. To the extent permitted by applicable law, KOIA is not liable for indirect, incidental, or consequential damages, or for loss of data or profits. Mandatory rights you have as a business under applicable law are not excluded.
Project delivery, timelines, and warranties (if any) are in the commercial agreement or statement of work for that project, not in these Platform Terms alone.
10. Governing law
These Terms and the commercial relationship with KOIA LLC are governed by the laws of the State of Wyoming, USA, excluding conflict-of-law rules. Payments collected by Stripe as merchant of record are also subject to Stripe’s terms.
11. Changes
We may update these Terms. The “Last updated” date will change. Continued use after an update means you accept the revised Terms. Material changes may also be notified by email.
